Master Services Agreement & Terms of Service
Effective Date: October 28, 2026 • Version: v2.1-florida-saas
1. Binding Agreement & Clickwrap Acceptance
This Master Services Agreement and Terms of Service ("Agreement") constitutes a legally binding contract between IS Tech Advisors, LLC ("Company", "we", "us") and the subscribing professional practice or entity ("Client", "you"). By completing checkout, selecting a payment plan, approving digital print proofs, or accessing theleadattendant.com, you expressly accept and agree to be bound by all terms set forth herein.
2. 90-Day Pilot, Payment & Auto-Renewal
Because multi-touch physical direct mail compounds over a 90-day window, The Lead Attendant operates strictly on a minimum 90-day (Quarterly) initial commitment per Allocation Block. Upon checkout, Client may elect one of two billing structures for their initial 90-day allocation:
- Option 1 - 3-Month Pilot Installment Plan ($897.00/Month for 3 Months): Client is billed $897.00 upon checkout (Month 1), followed by two (2) automatic monthly installment charges of $897.00 on Day 31 (Month 2) and Day 61 (Month 3), totaling $2,691.00 for the 90-day pilot commitment. Client is contractually obligated for all three (3) monthly installments comprising the initial 90-day term.
- Option 2 - 90-Day Pay-in-Full Pilot ($2,497.00 Upfront - $194.00 Savings): Client is billed a single upfront payment of $2,497.00 upon checkout (reflecting a $500.00 launch credit off the $2,997.00 standard quarterly rate and $194.00 in savings compared to the monthly installment plan), covering the full initial ninety (90) calendar days.
- Optional Omnichannel Meta Pixel Retargeting Boost (+$197.00/Month or +$497.00/Quarter): If selected by Client at checkout or via the Partner Portal, the Omnichannel Meta Pixel Retargeting Boost adds $197.00/month to Option 1 ($1,094.00/month total) or $497.00/quarter to Option 2 ($2,994.00/quarter total, saving $94.00), inclusive of turnkey Facebook and Instagram ad management and Meta media spend targeting QR code scanners from Client's allocation.
- Post-Pilot Auto-Renewal ($1,097.00/Month or $2,997.00/Quarter - Save $294.00): Unless canceled by the Client via the Partner Portal or in writing at least seven (7) calendar days prior to the expiration of the current 90-day period or next billing cycle, each active Allocation Block shall automatically renew on Day 91 at the standard rate corresponding to Client's selected billing cadence: $1,097.00/month for three (3) monthly installments ($3,291.00/quarter total), or $2,997.00/quarter when paid in full upfront (saving $294.00 per quarter), plus the applicable Meta Pixel Retargeting Boost fee if active.
- 3-Stage Default & 30-Day Phone Number Reactivation Hold: If an installment or renewal payment fails, physical mail dispatches and paid Meta retargeting ad spend pause immediately during the 7-day cure window while inbound call/QR routing remains active. If uncured after seven (7) calendar days, the Client's County Allocation Block reservation is released back to available county inventory, while their dedicated tracking phone number is placed in a 30-Day Reactivation Hold (protecting in-flight mailers and allowing instant reactivation of the printed number upon payment cure) before final deprovisioning after 30 days.
- Meta Retargeting Boost During Voluntary Pause: When a Client with an active Omnichannel Meta Pixel Retargeting Boost pauses mailings, active retargeting continues for up to 14 days to cover in-flight postcard QR scanners, after which remaining daily Meta ad-spend credits are banked and deployed proportionally when mailings resume.
3. Quarterly Quota Allocation & Daily-Paced Fulfillment
Each standard 90-Day Allocation Block is defined as 300 verified new businesses / 900 First-Class mailers (paced at 100 businesses / 300 mailers per month) with 100% Exclusive Prospect Lock (0% Lead Overlap), fulfilling a fixed turnkey quota:
- Quarterly Prospect Cap Per Block: Up to 300 verified newly registered business entities per 90-day Allocation Block (paced at approximately 25 new corporate entities per week / 100 entities per 30-day period).
- Turnkey First-Class Mail Volume: Up to 900 total direct mail pieces per 90-day Allocation Block (3 physical touches per prospect: Day 1 Welcome Letter, Day 8 6×9 Executive Postcard, and Day 15 6×9 Final Notice Postcard), inclusive of automated entity filtering, commercial printing, and USPS First-Class postage (~75 mail pieces dispatched per week at steady state).
- Paced Dispatch & Delivery Guarantee: Outreach is distributed daily as state corporate filings occur to ensure smooth inbound call volume. If county filing volume is temporarily lower during a given week, Client's allocation block automatically extends at no additional fee until the full 300-corporation (900-mailer) quota is 100% fulfilled.
- Voluntary Campaign Pause, Rollover & Catch-Up Pacing: Clicking Pause Mailings in the Partner Portal temporarily halts new daily print dispatches while preserving the Client's County Allocation Block lock, dedicated tracking number, and scheduled billing cadence. 100% of unmailed mailer quota credits remain banked in the Client's account, roll over seamlessly into subsequent billing cycles while the subscription remains active (up to a maximum ceiling of 1,800 banked mailers / 2 blocks), and automatically deploy via accelerated Catch-Up Pacing upon resumption so every paid mailer is delivered.
4. Exclusive Territory Allocation & 100% Prospect Lock
The Lead Attendant operates on a modular 90-Day Allocation Block architecture (delivering 300 verified new businesses / 900 First-Class mailers (paced at 100 businesses / 300 mailers per month) as a 100-Entity Monthly Allocation Block) with 100% Exclusive Prospect Lock (0% Lead Overlap) within your designated county and professional vertical (e.g., Certified Public Accountant / Accounting Practice):
- 0% Lead Overlap Guarantee (Entity-Level Exclusivity): Every newly registered business entity allocated to Client's territory is permanently locked exclusively to Client's account. No other subscribing firm or partner on our platform within your vertical can ever be assigned or mail the corporate entities allocated to your queue.
- County Block Capacity & Stacking Additional Blocks: The maximum number of concurrent Allocation Blocks available in any Florida county is governed by that county's trailing monthly state corporate filing volume. Clients in high-volume counties may subscribe to multiple 100-entity Allocation Blocks simultaneously (or add blocks in adjacent counties) to scale their monthly outreach volume.
- Default or Cancellation (3-Stage Enforcement): If an installment or renewal payment fails, physical mail dispatches and paid Meta retargeting ad spend pause immediately during the 7-day cure window while inbound call/QR routing remains active. If uncured after seven (7) calendar days, or upon end-of-term cancellation, Client's County Allocation Block reservation is released back to available county inventory, while their dedicated tracking phone number is placed in a 30-Day Reactivation Hold (protecting in-flight mailers and allowing instant reactivation of the printed number upon payment cure) before final deprovisioning after 30 days.
5. Print Proof Approval, Irrevocability & Non-Refundable Fulfillment
Because county prospect allocation blocks are immediately reserved upon checkout, dedicated local telecommunication tracking lines are provisioned, and commercial print production queues initiate, all payments - including $897.00 monthly pilot installments, $2,497.00 upfront pilot payments, and subsequent renewals - are final and non-refundable once checkout is completed.
- Digital Proof Verification Responsibility: Client is solely responsible for verifying the accuracy of their firm name, managing partner names, physical return address, website URL, phone numbers, state licensing disclosures, and industry compliance notices on digital campaign proofs in the Partner Portal prior to approving proofs.
- Irrevocability of Print & Mail Dispatch: Once digital proofs are approved by Client (or once the initial 24-hour onboarding proof lock window passes without a pause or revision flag), physical printing, postage affixing, and USPS First-Class dispatch are irrevocable and cannot be canceled, refunded, or recalled.
- Chargeback Waiver: Client expressly waives any right to initiate payment chargebacks or merchant disputes for active allocation periods, provisioned tracking numbers, or dispatched mail runs.
6. Public Records Sourcing & Non-Reliance Disclaimer
Data utilized by The Lead Attendant is curated from official Florida Department of State Division of Corporations public corporate records under Fla. Stat. Chapter 119 (Florida Public Records Act) and provided strictly on an "AS-IS" and "AS-AVAILABLE" basis without warranty of any kind.
- No Professional Advisory Relationship: IS Tech Advisors, LLC is a software and direct mail automation provider, not a CPA firm, commercial insurance brokerage, law firm, or financial institution. The Lead Attendant provides automated marketing, data filtering, and direct mail execution infrastructure. Company does not render legal, tax, accounting, or risk management advice.
- Automated Classification Estimates: B2B industry vertical classifications, commercial location categorization, and registered agent exclusions are automated algorithmic estimates generated from public text filings. Company makes no warranty that public records filed by entity founders are error-free, timely, or complete.
- USPS & Third-Party Delivery Variance: Once physical First-Class mail pieces are transferred to the United States Postal Service (USPS), delivery timelines, return-to-sender handling, and routing are subject to postal conditions beyond Company control.
- No Outcome or Retainer Guarantee: While automated multi-touch trigger correspondence historically achieves superior executive response rates, Company makes no guarantee as to the exact number of inbound phone calls, consultations, or signed client retainers Client will secure.
7. Call Tracking, Voice Routing & FTSA / TCPA Compliance
The Lead Attendant provisions dedicated local telephone tracking numbers to facilitate attribution telemetry, real-time call forwarding, and inbound caller ID capture:
- Inbound Routing & Whisper Prompts: Inbound calls to provisioned numbers forward directly to Client's designated office telephone number. Inbound calls may include an introductory whisper notification identifying the call as an attributed prospect.
- Compliance with Telemarketing Laws: Client agrees to comply fully with the Florida Telemarketing Act (Fla. Stat. Section 501.059), the Florida Do Not Call statute, and the federal Telephone Consumer Protection Act (TCPA). Provisioned tracking lines are designed strictly for inbound response handling and may not be utilized for unsolicited outbound automated telemarketing or unlawful robocalling.
- Call Log Attribution: Call telemetry (timestamp, caller phone number, call duration, forwarding status) is recorded strictly for client campaign attribution and portal reporting.
8. Professional Advertising & Regulatory Compliance
The Client bears sole responsibility for the ethical, legal, and regulatory compliance of all marketing letters, postcards, and landing pages dispatched or hosted under Client's corporate branding:
- Licensing Board Adherence: Certified Public Accountants, commercial insurance agencies, managed service providers, and licensed professionals must ensure their marketing text, credentials, fee disclosures, and campaign templates adhere to applicable state licensing board rules and Florida Department of Business and Professional Regulation (DBPR) standards.
- Client Indemnification: Client agrees to indemnify, defend, and hold harmless IS Tech Advisors, LLC, its officers, directors, employees, and agents from and against any claims, regulatory inquiries, fines, penalties, liabilities, losses, or expenses (including reasonable attorney fees) arising from or relating to Client's professional services, client engagements, uploaded branding assets, trade names, or representations made to prospective clients.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE FLORIDA LAW:
- No Consequential Damages: IN NO EVENT SHALL IS TECH ADVISORS, LLC, ITS AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR LOSS OF CLIENT RETAINERS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Liability Ceiling: IN NO EVENT SHALL COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SOFTWARE, OR DIRECT MAIL DISPATCHES EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO COMPANY UNDER THIS AGREEMENT DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10. Governing Law, Exclusive Venue & Dispute Resolution
This Agreement and any dispute, controversy, or claim arising out of or relating to it shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, without giving effect to conflict-of-law principles.
- Exclusive Charlotte County Venue: The state and federal courts serving Charlotte County, Florida, shall have exclusive jurisdiction and venue over any legal action, suit, or proceeding arising under or relating to this Agreement, and each party irrevocably submits to the personal jurisdiction of such courts.
- Class Action Waiver: CLIENT AND COMPANY AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
- Jury Trial Waiver: EACH PARTY EXPRESSLY AND IRREVOCABLY WAIVES ALL RIGHTS TO A TRIAL BY JURY IN ANY ACTION, LAWSUIT, OR PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT.
